1. Acceptance of Terms

By registering for an account, accessing, browsing, or using the Wudmod software application, website (app.wudmod.com), APIs, mobile scanner web applications, and related services (collectively, the “Service”), you (“Customer”, “User”, or “You”) agree to be legally bound by these Terms of Service (“Terms”).

These Terms constitute a legally binding electronic agreement between You and Wudmod Technologies (“Company”, “We”, “Us”, or “Our”) in accordance with the provisions of the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020 of India.

2. Description of Service

Wudmod is a specialized B2B cloud-based Enterprise Resource Planning (ERP) and Operating System designed specifically for modular furniture manufacturers, modular kitchen studios, OEM cabinet factories, and turnkey interior design firms. The Service includes omnichannel lead management, 3D design approval workflows, Bill of Materials (BOM) & sheet optimization costing, barcode/QR factory floor job card tracking, WhatsApp milestone automation, and milestone GST invoicing.

3. User Accounts & Security

• Account Registration: To utilize Wudmod, you must register for an authorized account, provide accurate business information (including legal business name, authorized contact person, phone number, and GSTIN where applicable).
• Credential Confidentiality: You are responsible for safeguarding your login passwords and ensuring that multi-user seat accesses allocated to your team members comply with your internal organizational security policies.
• Unauthorized Activity: You must promptly notify us at support@wudmod.com of any unauthorized access, security breach, or compromised account credentials.

4. Subscriptions, Payments & Razorpay Gateway

• Pricing & Taxes: Subscription fees are listed in Indian Rupees (INR ₹). All applicable statutory taxes, including Goods and Services Tax (GST at 18%), will be clearly itemized on your tax invoice.
• Billing Cycles: Wudmod provides both monthly and annual subscription plans. Subscriptions are billed in advance at the commencement of each billing cycle.
• Payment Methods: We accept UPI (Google Pay, PhonePe, Paytm, BHIM), Net Banking across all major Indian banks, Credit Cards (Visa, Mastercard, RuPay, Amex), Debit Cards, and Corporate Cards through Razorpay.
• Auto-Renewal: Unless cancelled prior to the end of the current billing cycle, your subscription will automatically renew at the prevailing plan rate.

7. Intellectual Property & Customer Data Ownership

Customer Data Ownership: You retain 100% full legal ownership of all proprietary data uploaded to Wudmod, including your 3D SketchUp/CAD files, customer lead records, vendor material pricing, factory machinery specifications, and quotation databases. Wudmod will never sell, rent, or monetize your customer data.

Platform IP: All software architecture, user interfaces, proprietary cutting algorithms, source code, logos, trademarks, and documentation are the exclusive intellectual property of Wudmod Technologies.

8. Acceptable Use & Prohibited Activities

You agree not to: (a) reverse engineer, decompile, or disassemble any part of the Service; (b) use the platform to transmit spam, fraudulent WhatsApp campaigns, or abusive content; (c) attempt to bypass authentication barriers or conduct unauthorized vulnerability scanning; (d) resell, sub-license, or lease access to the platform without prior written consent.

9. Service Availability & Maintenance

We target a 99.9% cloud service uptime. Routine maintenance windows and system upgrades are scheduled during off-peak hours with prior dashboard notifications. While we implement high-availability infrastructure with automated redundant backups, Wudmod is provided on an “as-is” and “as-available” basis.

10. Limitation of Liability & Indemnity

To the maximum extent permitted by applicable Indian law, in no event shall Wudmod Technologies, its directors, employees, or partners be liable for any indirect, incidental, punitive, or consequential damages resulting from data loss, business interruption, or workshop operational delays. The maximum cumulative liability of Wudmod for any claim arising out of these Terms shall not exceed the subscription fees paid by you in the preceding three (3) months.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India or New Delhi, India.
